背景资料
新山宽柔中学董事会将于2009年10月25日上午10点召开特大，寻求修改11条章程。这11条章程被修改后，董事会随时能够把宽中的资产抵押，以进行投资。经过两个星期的了解与调查，我们发现特大有以下不合法，不合理，不合情之议程:-
提案1:核准公司注册批准及部长认可的章程修改条文。这其中涉及11项修改章程：-
第1，2，3，4项
修改后：- 会员入会资格由董事会全权决定，现有教职员被剥夺会员资格，入会费暴涨10倍至RM300.00，而且入会后一年内不享有投票与被选权。
后果：关闭门户，拒绝广大华社与教育工作者参与宽中的建设，沦为董事局的私有产物。
第5，6，7，8项
修改后：-由会员要求召开的大会须有最少35人出席，如果不足人数，必须流会，而且六个月内不可重提相同议案。相对的由董事局召开的大会就算低至二人，也可进行。
后果：将来一旦遇上不负责任的董事会采取技术手段通过不寻常议案，严重削弱会员行使监督与制衡董事会的力量。
第9，11项
修改后：-增加委任董事。
后果：进一步操控董事局，严重影响内部监管。
第10项
修改后：-允许董事会在大会预先批准的情况下，抵押校产，甚至发出债券（debenture)，当中又包括全部动产与不动产，总值超过3亿（RM300，000，000）。
后果：极可能让华社近百年来的心血毁于一旦。
总结：如果修改11章程不幸通过，宽中百年基业随时可能化为
乌有，到时呼天不应,叫地不灵。

提案2：授权董事会动用学校流动资金不超过600万令吉作为投资收益事：-
这是百年来未曾发生过的事：动用学生的学费，教职员的薪金，水电杂费来融资投资！万一资金不能及时回笼，难到教职员要向董事会老板们借粮吗？学生挑灯上课吗?出现这种情况，广大华社还允许我们重头再来吗？
提案3：授权董事会洽购lot603属于吴家的地段事：-
授权无说明数额顶限，透明度何在？董事诸公人人皆是商界杰出人士，产业必须有基本估价报告，才可向股东及相关人士交待，更何况是公家事业。
宽中原本就是一个教育机构，投资从来不事我们的选项，专注发展教育才是我们唯一的选择。宽中董事局唯一的使命就是全心全意执行华社的共同意愿，让我们回復根本。

i never know that Foon Yew High School is so rich that they could hire investment professional to help them invest their asset.
回复删除by the way, what the hell on earth does a high school need to raise money every year with the hefty amount of working capital on hand???
besides that, i doubt their professional knowledge in investment albeit their background in business. we must understand that Investment is not an usual business.
回复删除i suggest they amend their constitution to only invest in highly liquid and zero risk asset only. for eg, government bond.
we are not an profit organization, school supposed to be a Non-profit organization.. and the good thing about chinese school is they are still keeping the chinese culture by promoting confucianist...
回复删除even though they reason behind for amending the constitution is for the benefit and the development of Foon Yew... But we all know that all the profits & loss has never been clear to release to the public..
this is juz another pipeline for those heartless committee to earn money by using our school's "Branding"...

个人认为，现在面临股严重的金融危机，各方理应努力地筹钱挨冬。大家都害怕公家的资产血本无归，所以董事会应该针对风险给大众一个交代。此外一旦真的有赚钱，董事会也该调高教职员薪金和调低学费，让大众看到风险投资对师生的帮助。
回复删除入会费300并不会有多大影响吧～我也可以当会员啊～反而如果用30就能入会，更容易使有心人收买会员。要有一百人入会也只不过用3000.（这好象是董事会1965年来第一次修改章程，当时的30币值应该比较高，请各方指教）。
无论如何，个人希望看到有专业人士或局内人发表看法。我既非懂事又不是读商的，也没什么资格评定对错。我只是关注宽中发展的小咖。
主要问题不是会费什么的。。。

全世界許多著名大學例如哈佛都有自己的基金會作爲投資為學校籌款事宜， 凡事都委任專人處理。

While I was a student there, I always heard that Foon Yew was poor, that’s why we raised money every year during the anniversary in order to keep the school going. Foon Yew is not a profitable organisation, it’s only giving the best education and to profit all the Chinese people in Malaysia.
回复删除All these selfish people are making me sick. They are using everyone's money to risk and gain profit for themselves. If they fail, Foon Yew will be closing down and even if they success how much money will they really give it back to Foon Yew. I would say NONE!
100 years of successful education, Foon Yew High School has created so many great people around Malaysia and oversea. We are Chinese, we are Malaysian Chinese and Foon Yew is part of our culture. We should be proud to have such a historical school that brings us all the memories.

知道这个事件的新山华团和政党都不要出声。而且主流媒体封锁我们发布的新闻。看看董事名单就知道原因了。
回复删除我们只好用最传统的集会方法让董事们取消特大。我们别无选择。希望有良知的董事会站出来反对。我们想要宽中好，独中好。
当中文报纸都去大量报导政党和华团的内部斗争。请问他们事实上还代表华人吗 ？
扪心自问，我们最后的堡垒就是华教了。。这是绝对不能被人钻空子的。。。这是历代祖先废了好大的气力才维持住的。试想想我们还有中文论坛。能用中文沟通。邻国们印尼泰国新加坡有吗？

回复删除Harvard Endowment fund is managed by a pool of professionals. Their fund size is more than US$20 billion. Given this economy of scale, they are able to hire professional to manage their money.
Let me ask you, how many CFA holders in the board of directors. Don't tell me how many successful businessmen are sit on the board. Successful businessman might not be a good investor.

回复删除I suppose that many people will use "most" instead of "all" because we all know that if there's a big and fat fish on the table, some of them will surely CUT and SLICE and EAT the fish until the bones are seen.
But if things went right, Foon Yew student will be able to stop raising fund for the school, or maybe to a lesser extent that we do not have to go around the streets and beg for money anymore and may just have to rely on some big donors for their big donations.
But things do go wrong most of the time and I just hope that our 3 billion assets will not go down into Stulang Laut or into the pockets of some unscrupulous idiots.
Foon Yew takes nearly 100 years to build but it only needs a single mistake to be destroyed.
Once from Foon Yew, always shall we be with Foon Yew.

回复删除I don't know what is a safe investment if the constitution allows a few people to pledge foon yew asset for a bank loan. what if the investment turns sour?? what will happen to the existing student???
I hereby overthrow all the falseful explanation by some wicked "anonymous" guy who claimed that we want to destroy foon yew. the fact is, no matter what, the board of director is to make sure the sustainability of foon yew operation, not to turn into an investment holding company.
They think foon yew produces high standard students every year. well, that's not true. you can't propagate the small portion of students who are already very smart. the general students' result and performance should be gauged as the performance indicator. so, who dare to say there is more than 20% of foon yew students can command good english???? they should invest the money in lifting up this very important issue.
Oh yea I bet they should invest the money on implementing all sorts of ways to improve the standard of our english language, particulary some blurred "anonymous" who mistook my words for saying the things that I don't quite understand at first but have to re-read for several times until I got the message.
回复删除The "mistake" I was refering to is a mistake that I'm worried and concerned as much as you are, which means I'm also afraid that our 3 billion assets will go down in drain and at the same time jeopardizing the future of our fellow foon yew students just in case things turn sour and nasty.
And please, learning english is not a one-day-task. It requires not only the help from the school, but also the students' will and motivation to learn and comprehend in that language. It takes YEARS. Why not ask yourself how long did you take to learn how to speak good english and score 8 for ielts?
Opps... Went too far... Now back to the crisis. I want the directors to stop this nonsense.

did you see the problem?? this is FOon yew high school english standard. i had never used any bombastic vocabulary or rhetorical phrases. all i wanted to express here is to let everyone to understand the simple idea. we shall never let a public asset falls into the hand of a few people. foon yew high school will remain as an education institution, it SHALL never turn into an investment institution.

Do you think you can generate more than 10% of return on the investment with 100% guanrantee??
if that is the case, why don't you take up the bank loan and make the investment yourself and keep all the profit.

my suggestion, since the board of directors are so successful in business, why don't they invest their own money and donate a portion of the profit to foonyew??
the investment will never perform well. because it is a public asset.
